AGREEMENT TO TERMS

These Terms of Use constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you") and Academikx ("Academikx", "we", "us", or "our"), concerning your access to and use of https://www.academikx.com/ and related services (collectively, the "Platform"). By accessing the Platform, you agree to these Terms. If you do not agree, discontinue use.

We may modify these Terms. Material changes will be announced on the Platform and by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

ELIGIBILITY

You must be at least 18 years old. You must have the legal capacity to enter a binding contract. You must use the Platform in compliance with the laws applicable to you. You agree not to use the Platform for illegal purposes or in ways that violate these Terms.

ZERO-KNOWLEDGE ARCHITECTURE

The Platform is built so that we cannot read the content you store or exchange. By using the Platform, you acknowledge:

1. Your password is never transmitted to us. It is used in your browser to derive encryption keys.

2. Your content is encrypted in your browser before it reaches our servers.

3. If you lose your password AND your 12-word recovery kit, your encrypted data is permanently inaccessible. This cannot be reversed by us, by support, by legal process, or by any other means. You are responsible for keeping your password and recovery kit safe.

4. Support cannot view your messages, assignments, or grades to debug an issue. Support can assist with account metadata, billing, and usage patterns, and will ask you to share specific content by screenshot if needed.

5. Our AI writing assistance runs on infrastructure we control. We do not send your content to third-party AI providers.

YOUR ACCOUNT

You are responsible for maintaining the confidentiality of your password and recovery kit. You are responsible for all activity under your account. You must notify us promptly at contact@academikx.com if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms.

ACCEPTABLE USE

You agree not to:

1. Use the Platform for any illegal purpose or in a way that violates applicable law.

2. Attempt to break, bypass, or reverse-engineer the Platform's security features, other than in good-faith security research coordinated via contact@academikx.com.

3. Use automated tools to access the Platform except as explicitly permitted.

4. Impersonate another person.

5. Upload material that infringes intellectual-property rights, promotes violence, exploits minors, or is otherwise unlawful.

6. Interfere with or disrupt the Platform's operation.

7. Use the Platform to harass or threaten other users.

We may, at our sole discretion, suspend or terminate access for violations.

USER CONTRIBUTIONS AND CONTENT

You retain ownership of content you create, upload, or share on the Platform.

Because content is encrypted before it reaches us, we do not have the technical ability to review, monitor, or moderate user content at rest. Moderation, when necessary, relies on user reports. Submit reports via the in-app reporting feature or by emailing contact@academikx.com.

By uploading or sharing content, you represent that you have the right to do so and that the content does not violate the Acceptable Use rules above.

PAYMENTS

Payments are processed by third-party payment providers (such as PayPal). Your payment details are handled by those providers under their terms. We do not store your payment card details. Refunds are governed by our Refund Policy.

DISCLAIMERS AND LIMITS

The Platform is provided "as is" and "as available." We do not warrant that the Platform will be uninterrupted, error-free, or meet specific academic outcomes. We do not guarantee any particular grade. Academic outcomes depend on many factors outside our control.

Our total liability to you for any claim arising from your use of the Platform is limited to the greater of: (a) the amounts you paid to us in the 12 months preceding the claim, or (b) USD 100.

Some jurisdictions do not allow limitation of implied warranties; in those jurisdictions, the limits above apply only to the extent permitted by law.

ACCOUNT TERMINATION

You may close your account at any time from the settings page. Closure triggers deletion of encrypted content and account metadata within 30 days (with up to 30 additional days of backup rotation).

We may terminate accounts for material violation of these Terms, for extended inactivity (12+ months), or for reasons required by law. In most cases we will provide reasonable advance notice.

HOSTING AND DATA LOCATION

The Platform is hosted in Switzerland, which offers strong data-protection law. Your data is subject to Swiss data-protection rules during its life on our infrastructure. If you access the Platform from outside Switzerland, you consent to your data being processed in Switzerland.

GOVERNING LAW

These Terms shall be governed by and defined following the laws of Kenya. Andicahub Limited and yourself irrevocably consent that the courts of Kenya shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

DISPUTE RESOLUTION

Informal negotiation. Either party may give the other written notice of a dispute. The parties shall attempt to resolve it informally for at least 30 days.

Arbitration. If informal negotiation fails, the dispute shall be finally resolved by arbitration under the rules of the Nairobi Centre for International Arbitration. The seat of arbitration shall be Nairobi, Kenya. The language shall be English. The number of arbitrators shall be one, unless the amount in dispute exceeds USD 50,000, in which case three arbitrators shall preside.

Class-action waiver. Arbitration shall be on an individual basis. Class actions, representative actions, and joined proceedings are not permitted.

Injunctive relief. Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual-property rights or to address an imminent threat, without waiving the arbitration agreement.

CHANGES TO THESE TERMS

We may modify these Terms. Material changes will be announced on the Platform and by email at least 14 days before they take effect. If you do not accept the revised Terms, you must stop using the Platform before the effective date.
